1. Objective

The objective of these Terms is to establish the rights, obligations, and responsibilities that apply between you and us in connection with your use of the Moada service (the “Service”).

2. Definitions

• “User” means any Account Holder or Guest who accesses or uses the Service under these Terms.
• “Account Holder” means a person who completes account registration through an identity provider we support.
• “Guest” means a person who uses the Service without registering an account.
• “File” means content that a User uploads or enters into the Service to store or share.
• “Share Link” means an address generated by the Service through which a File may be opened.

Capitalized terms not defined in these Terms will be interpreted in accordance with applicable law and generally accepted commercial practices.

3. Publication and Amendment of These Terms

We publish these Terms through the Service in a manner that makes them readily accessible. You agree to these Terms when you complete account registration or use the Service, including by uploading a File as a Guest.

We may amend these Terms to the extent permitted by applicable law. We will provide advance notice of the effective date and details of a change. We will provide reasonable advance notice of any material change that adversely affects Users. If applicable law requires a specific notice period or separate consent, we will comply with those requirements. If you do not agree to a change, you may stop using the Service and terminate your account before it takes effect.

4. Provision and Modification of the Service

The Service may include:

• Uploading, storing, and managing Files in formats we support
• Creating Share Links and configuring access
• Opening Files through an isolated Viewer
• Workspaces and other features for sharing and managing Files

We may modify features, supported formats, or methods of delivery for operational or technical reasons. We will provide reasonable advance notice of any modification that materially affects Users.

5. Suspension of the Service

We may temporarily interrupt all or part of the Service for maintenance, infrastructure failures, security incidents, or events beyond our reasonable control. Where practicable, we will provide advance or prompt notice of the reason and expected duration.

If we discontinue the Service, we will use reasonable efforts to give advance notice and, where reasonably practicable, provide an opportunity to download or transfer Files.

6. Account Registration and Security

You may apply for an account by authenticating through an identity provider we support and agreeing to these Terms. Registration is complete when we accept the application and create the account.

You must be at least 16 years old to use Moada. We may reject or defer registration if you are under 16, use false or another person’s information, create a security risk, or materially impair the operation of the Service. If applicable law requires additional eligibility or consent, you must satisfy those requirements.

You are responsible for keeping your account information and authentication methods secure and current. If you use the Service on behalf of an organization, you represent that you have authority to bind it to these Terms.

7. Use of the Service by Guests

Guests may upload Files and create Share Links without signing in. Control of Guest Files depends on cookies and session information in the same browser. Changing browsers, deleting cookies, session expiry, or losing a device may prevent you from managing or associating those Files with an account.

We may limit features that require account-based management for Guests.

8. Sharing and Access Controls

Where available, you may restrict access to a File to yourself, anyone with the link, or people with a verified organization account. Because anyone who receives an unrestricted Share Link may be able to open the File, you are responsible for controlling and safeguarding the distribution of Share Links.

Organization sharing may rely on an email domain or organization information verified by an identity provider. Such verification does not constitute a warranty by us regarding a person’s employment or organizational affiliation.

9. Ownership and Use of Intellectual Property

You must have all rights and permissions necessary to upload and share your Files. You retain ownership of your Files and grant us a limited, non-exclusive license to host, store, copy, transmit, and display them solely as necessary to operate the Service and make them available in accordance with your sharing settings.

Files may contain scripts, images, fonts, links, or other resources that communicate with external services. You are responsible for your Files’ legality, external communications, and sharing settings.

We and our licensors retain all rights in the Service, software, interface, logos, and related materials. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service.

10. Our Obligations

We will comply with applicable law and these Terms, maintain reasonable technical and organizational safeguards for personal data and Files, and use reasonable efforts to provide the Service reliably and address legitimate questions and complaints.

11. User Obligations

You must comply with applicable law, these Terms, and instructions provided through the Service. You must not:

• Violate law, copyright, privacy, or another person’s rights
• Distribute malware, phishing, credential theft, or deceptive content
• Bypass authentication, access controls, sandboxing, or security measures
• Access another User’s account, workspace, or File without authorization
• Scrape Share Links or APIs at scale or place excessive load on the Service
• Copy, resell, or reverse engineer the Service except where applicable law permits

12. Restrictions on Use and Account Termination

We may restrict a File, suspend use of the Service, or terminate an account when we reasonably believe that a User has violated law or these Terms, infringed another person’s rights, created a security threat, distributed malicious content, or abused the Service. Unless urgent security action or law prevents notice, we will provide the reason for the action where reasonably practicable. You may appeal by contacting support@moada.io.

Account Holders may terminate their accounts at any time through the Profile page. Once a request is received, we immediately block access and begin permanently deleting account and profile information, Files, and related metadata. Account termination cannot be reversed. We may separately retain only the minimum records required by law or needed to resolve a dispute, and only for as long as necessary.

If an organization account is deleted or no longer valid with its identity provider, you may be unable to sign in or access existing Files. Contact support@moada.io if ownership transfer assistance is needed.

13. Notices to Account Holders

We may provide important notices through the Service, an Account Holder’s registered email address, or another reasonable method.

For notices addressed to Account Holders generally, we may provide notice by posting it through the Service for a reasonable period instead of notifying each Account Holder individually. We will provide individual notice of matters that materially affect a particular Account Holder’s use of the Service, account, or Files.

14. Fees, Plans, and Usage Limits

We may provide all or part of the Service without charge. The absence of a stated fee or usage limit does not constitute a commitment that the Service will remain free of charge or available without limitation. We may introduce or modify paid plans or limits relating to storage, uploads, traffic, or File size upon reasonable advance notice.

15. Privacy and Data Protection

We process personal data as described in our Privacy Policy.

16. Damages

If either party intentionally or negligently violates applicable law or these Terms and causes loss or damage to the other party, the responsible party will be liable for that loss or damage in accordance with applicable law.

17. Disclaimer of Warranties and Limitation of Liability

The Service is provided “as is” and “as available.” We do not warrant that the Service will be uninterrupted or error-free, or that every File or external resource will operate as intended. To the extent permitted by applicable law, our liability is limited with respect to loss or damage arising from User Files, sharing settings, third-party services, or a User’s violation of these Terms. Nothing in these Terms excludes liability for our willful misconduct or gross negligence, or any liability or right that cannot lawfully be excluded or limited.

18. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Korea. The parties will use good-faith efforts to resolve any dispute through consultation. Any dispute not resolved through consultation will be submitted to a court having jurisdiction under applicable Korean procedural law, unless mandatory local law provides otherwise. Nothing in these Terms limits any mandatory consumer protection available in your place of residence.
